Terms and Conditions

This agreement contains the terms and conditions of use for the Qoyod platform (hereinafter referred to as the "Agreement" and/or "Terms and Conditions") which constitutes a binding agreement between you and Automated Cloud for Communications and Information Technology Company, a Saudi limited liability company with commercial registration number: 1010421365

Your subscription to Qoyod and your use of the services it provides indicates that you have read this agreement, understood its terms and conditions, and accepted them.

Qoyod: Automated Cloud for Communications and Information Technology Company, responsible for managing and operating the Qoyod platform.

the Qoyod platform/ Platform/ Service: Qoyod, the cloud accounting platform that provides accounting and e-invoicing services and allows customers and users to record, save, and use their accounting data in the form of invoices or reports.

User/ Users/ You: Customers subscribed to the Qoyod platform.

Qoyod services/ Services: Services provided within the Qoyod platform at fixed fees for each service.

You represent and warrant the following:

1. That your use of Qoyod has not previously been suspended or you have not previously been prevented from using or accessing it at any time.

2. That you are not a competitor of Qoyod and do not provide any product competing with the services offered by Qoyod.

3. That you have full power and authority to contract and that by doing so you will not be in violation of any law or contract.

You agree and warrant that you will:

1. Comply with all laws and regulations applicable and in force in the Kingdom of Saudi Arabia.

2. Provide truthful and accurate information to Qoyod and update it periodically.

3. Review and comply with any notices sent through Qoyod or mentioned on Qoyod's platforms regarding your use of the services.

4. You will not sublicense, issue, publish, transmit, distribute, perform, display, sell, or repackage Qoyod's services, otherwise you would have transferred the service or exploited it commercially, except as permitted under this agreement.

5. You will use the service for lawful purposes only and will not use the services to send or store any illegal materials or for fraudulent purposes.

6. You will not use the service to harm, harass, or disturb anyone.

7. You will not disrupt the proper operation of Qoyod.

8. You will not attempt to damage the service in any way.

9. You will not copy or distribute the platform, services, or other contents without written permission from Qoyod.

10. You will keep your account password or any identification means we provide you that allows access to your account secure and confidential.

11. You will provide us with all evidence proving your identity at Qoyod's sole discretion.

12. Qoyod has the right to refuse to provide the service or use the platform without giving reasons.

1. Your access to Qoyod is tied to the duration of your subscription.

2. Your Qoyod subscription auto-renews for an equivalent period. If you do not want automatic renewal, you must notify us through customer support channels or by logging into subscription settings and selecting "Cancel subscription" and delete the bank card information before the subscription period ends by (5) business days maximum.

3. Qoyod has the right to block your access to the platform and the data stored on it immediately upon expiration of your subscription if you do not wish to renew.

1. Subscription to Qoyod is available at the subscription fees specified on the pricing page.

2. You acknowledge that the validity of your access to Qoyod services is tied to payment of subscription fees through payment options including electronic payment or bank transfers to our accounts.

3. If you choose to pay fees via electronic payment, you bear responsibility for the accuracy of the bank card information entered, and you agree to accept automatic deduction of subscription renewal fees from the card. If you do not want automatic renewal for an equivalent period, you must delete the bank card information from the Qoyod platform.

4. Qoyod reserves the right to modify subscription fees from time to time, and the modifications take effect from their date. Your continued access to Qoyod indicates acceptance of these price modifications.

5. Qoyod subscription fees do not include subscription fees for any of Qoyod's services.

The user may submit a request to refund subscription fees "Refund request" according to the following conditions:

1. Submit the request within the following timeframes:

Annual subscriptions: The user may submit a refund request for annual subscriptions within 30 days from the activation date of Subscriptionnew subscriptions

Subscriptionmonthly subscriptions: The user may submit a refund request for monthly subscriptions within 7 days from the activation date of new subscriptions

2. The user may submit a refund request for annual or monthly subscriptions at any time if the reason is a technical malfunction that caused complete service disruption for a duration exceeding 24 hours after notifying the technical support team of the technical malfunction

3. The subscription refund policy applies only to the user's first subscription period and does not apply to any subsequent renewal periods, whether the renewal was automatic or at the user's request

4. The user's right to submit a refund request lapses if they have benefited from any of the following services:

• Bookkeeping service

If you wish to submit a subscription refund request, please follow these steps:

1. Verify your eligibility to submit the request according to the subscription refund policy

2. You can submit the refund request by contacting the customer support team through the designated channels or by logging into the Subscription Settings page and selecting "Cancel subscription".

3. Refund request processing takes 3 to 5 business days from the date of submission, with the processing result being one of two outcomes:

Request rejected: If the request conditions are not met, the customer support team notifies you ofRequest rejected with an explanation of the reasons

Request completion: If the request conditions are met, the customer support team notifies you of the request acceptance and the refund is executed within 7-14 business days from the notification date

grants you Qoyod a non-exclusive, non-transferable, non-assignable, non-sublicensable, and non-revocable license to obtain our services and use them only for the specific personal purpose in accordance with this Agreement. Therefore, you must:

1. Not make Qoyod or its services available, rent, lease, assign, resell, distribute, or sublicense the platform or services to any third party.

2. Not modify, abridge, translate, summarize, or create a derivative work based on decompiling, or perform reverse engineering of Qoyod's design, or otherwise identify, attempt to identify, or attempt to access the source code or internal design of the platform, services, or any text or multimedia (images, audio, video files), data, or other information provided by Qoyod or third-party service providers.

3. Not delete, change, or otherwise modify any copyright or other official notices contained in the platform or services.

4. Not deliberately transfer or distribute the platform or services, or allow their download for use other than as specified herein.

5. Not claim to grant the service or allow access to it to anyone other than you.

6. Not allow sharing of the username/ or password or other access credentials to the Qoyod platform.

All intellectual property rights to Qoyod, its services, and all materials related to or appearing on it (this includes any content you submit or insert) are the property of Qoyod. You must not reproduce or allow any person, for any reason, to use or reproduce the services or any trademarks or other trade names appearing in the platform.

By your agreement to the Agreement this and use of Service, you agree to defend Qoyod, its affiliated companies, its licensors, and all its officers, directors, and others among Users employees, lawyers, and agents — and not to cause harm to them, releasing them from any claims, costs, damages, losses, liabilities, and expenses (including legal fees and costs) which arise from or relate to the following:

1. your violation or breach of any term of this agreement or any applicable law or regulations, whether referred to in this agreement or not.

2. your violation of any rights belonging to third parties, including service providers contracted with Qoyod.

3. your misuse of the service.

1. The information, recommendations, and services or any of them presented to you on or through the website and service are for general information purposes only and do not constitute any advice. Qoyod will maintain the accuracy and update of the website, service, and its contents as much as possible, but does not guarantee that (Contents) the website or service is free from errors, defects, malware, or viruses, and does not guarantee the validity, accuracy, and update of the website and service.

2. Qoyod is not liable for any damages resulting from the use of (or the inability to use) the website or service, including damages caused by malware or viruses. Qoyod also bears no responsibility for the inaccuracy or incompleteness of information, the website, or the service, unless such damage results from intentional misconduct or gross negligence on the part of Qoyod.

3. Qoyod also bears no responsibility for any damages resulting from the use of (or the inability to use) electronic communication means with the website or the service, including, by way of example and not limitation, damages resulting from non-delivery of electronic communications, their delay in delivery, their interception, or tampering with electronic communications by third parties or by softwarecomputer Userof electronic communications and virus transmission.

4. Qoyod strives as much as possible to provide its electronic services throughout the year 24 hours/7 days a week. In any event, it does not guarantee that Qoyod will operate fully throughout the year, and there will be outages for maintenance, periodic updates, or adding new features to the service.

Qoyod reserves the right, at its sole discretion, to do the following at any time:

1. Update or modify the service or any related materials, and/or stop publishing its services. If Qoyod decides to stop publishing its services, it may at its discretion replace the services with other similar materials.

2. Modify, change, suspend, or terminate the service (Including, by way of example and not limitation, providing any feature, database, or content) at any time, by publishing a notice on the website or by sending you a notice through the service or via email. Qoyod may also place restrictions on certain features and services, or limit your access to parts of the Service or the entire Service, without notice or liability.

Qoyod does not make any warranties, express or implied, regarding the platform and its services. All of them are provided "as is". Qoyod expressly disclaims, to the maximum extent permitted by law, all warranties, including but not limited to: warranties of fitness for a particular purpose, suitability for specific specifications and markets, and merchantability. Qoyod also does not guarantee the accuracy, content, or timing of the services or the results that a user of the services may or may not obtain. Qoyod, its agents, licensors, or affiliates shall not under any circumstances be liable for direct or indirect damages, penalties, special damages, or incidental or consequential damages, including by way of example and not limitation: damages resulting from loss of profits, business interruption, loss of business information, or other financial losses arising directly or indirectly from access to and use of the services (or failure to use them) or relying on them.

In all cases, by agreeing to the terms and conditions of this agreement, you acknowledge that Qoyod's data retention liability limits are six months for trial subscriptions and two years for paid subscriptions, and that Qoyod thereafter has the right to delete this data entirely from its service and dispose of it in any manner that it deems appropriate Qoyod appropriate.

You acknowledge that you bear sole responsibility for the privacy of the services, and you are solely responsible for their use by any other person using your account and/or username, password, or your access credentials. You also agree to notify Qoyod if you become aware of any loss, theft, or unauthorized use of any password, username, or IP address, or other methods of accessing the services.

During your use of the website and the service, you may correspond, purchase goods or services, or participate in promotional offers provided by service providers, advertisers, or sponsors who display their goods or services via a link on the website or through the service. Qoyod bears no responsibility for the content of those websites and their activities and cannot be held accountable for them. Therefore, you bear all the risks resulting from visiting or entering those sites.

1. This agreement ends upon the expiration of your Qoyod subscription if you do not wish to renew.

2. You have the right to terminate the agreement by canceling your subscription and deactivating your account by notifying us of your desire to cancel through customer support channels or by logging into subscription settings and selecting "Cancel subscription".

3. Qoyod has the right to terminate the agreement with immediate effect at any time by deactivating your account and blocking your access to the platform in any of the following cases:

In the event of any invalid provision in these terms and conditions or any unacceptable provision in certain circumstances according to reasonableness and fairness criteria and only to that extent, an acceptable provision considering all circumstances and consistent with the invalid provision's provisions as much as possible shall be applied instead between the parties, with considering the content of this the Agreement and its purpose.

1. This agreement is subject in its interpretation and the adjudication of any disputes arising from it to the laws applicable and in force in the Kingdom of Saudi Arabia.

In the event of any disagreement or dispute relating to the implementation of this the Agreement or its interpretation shall be resolved through amicable negotiations between Qoyod and the User, and if no amicable solution is reached, the dispute shall be referred to the competent court in the Kingdom of Saudi Arabia
